Welcome to Cara. These Terms of Service ("Terms") govern your access to and use of the Cara platform, website, and services. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the service.

1. Services

Cara provides a healthcare technology platform ("Platform") designed to help healthcare providers create and manage digital healthcare solutions for their patients. Our Platform may include, but is not limited to, patient portals, telehealth integration, pharmacy fulfillment services, lab testing integration, and payment processing.

2. Account Registration

To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password that you use to access the Platform and for any activities or actions under your password. You agree not to disclose your password to any third party.

3. Healthcare Provider Responsibilities

If you are a healthcare provider using our Platform, you are solely responsible for:

• All medical advice, treatment decisions, and care provided through the Platform
• Ensuring that all medical professionals using the Platform on your behalf are properly licensed and qualified
• Complying with all applicable laws, regulations, and professional standards, including those related to telemedicine, prescribing, and healthcare privacy
• Obtaining appropriate patient consent before providing services through the Platform
• The accuracy and completeness of all information provided to patients through the Platform

4. HIPAA and Privacy

For healthcare providers subject to the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"), Cara will enter into a Business Associate Agreement ("BAA") with you. We implement reasonable and appropriate safeguards to protect Protected Health Information ("PHI") in accordance with HIPAA and our BAA.

5. Payment Terms

You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Payments are non-refundable except as expressly set forth in these Terms.

You must provide current, complete, and accurate billing and payment information. By providing payment information, you authorize Cara to charge such payment method for all fees incurred.

6. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach the Terms. Upon termination, your right to use the Platform will immediately cease.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall Cara, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Platform.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
